Acceptable Use Policy

This Acceptable Use Policy (“AUP”) governs your use of the Passively platform, services, and infrastructure. By using Passively, you agree to comply with this policy.
1. General Usage Rules
You agree to use Passively only for lawful, ethical, and business-appropriate purposes.
You may not use Passively to:
- Violate any law or regulation
- Engage in fraud, deception, or misrepresentation
- Harass, threaten, or abuse others
- Distribute malware, spyware, or malicious code
- Infringe intellectual property rights
- Collect data without consent
- Conduct surveillance or unauthorized tracking
2. Prohibited Messaging Activity
You may not use Passively messaging tools for:
- Spam
- Cold outreach without proper consent
- Phishing
- Scam campaigns
- Lead list blasting
- Robocalling without consent
3. Platform Abuse
You may not:
- Circumvent billing systems
- Manipulate usage limits
- Attempt unauthorized system access
- Reverse engineer platform systems
- Use automation to overload system resources
4. Enforcement
Passively reserves the right to suspend accounts, restrict features, terminate service, or remove data for violations of this policy without notice.
AI Usage Policy
1. Permitted Use
You may use AI tools to communicate with customers, provide customer support, automate workflows, create marketing content, generate website materials, and improve operational efficiency.
2. Prohibited AI Usage
- Generate illegal content
- Conduct scams, impersonation, or fraud
- Generate deceptive claims
- Create harmful or abusive messaging
- Generate copyrighted material without authorization
- Misrepresent AI-generated content as human advice
3. Responsibility for AI Output
You acknowledge that AI outputs may contain errors, and you are solely responsible for reviewing AI-generated content and assume full liability for content generated.
4. AI Training & Data Usage
Your data remains your property. AI services may use anonymized, aggregated data for system improvements. Passively does not sell AI-generated content.
SMS & Messaging Compliance Policy
1. Consent Requirements
You must obtain verifiable express consent before messaging any individual. Consent must be clear, informed, documented, and revocable.
2. Regulatory Compliance
You must comply with TCPA, CAN-SPAM, GDPR, CCPA, CASL, and all carrier regulations.
3. Message Content Rules
You may not send unsolicited promotional messages, deceptive marketing, misleading offers, high-risk financial claims, or restricted content.
4. Opt-Out Handling
You must provide opt-out instructions, immediately honor STOP requests, and maintain suppression lists.
GDPR Data Processing Addendum (DPA)
This DPA applies to Passively customers processing personal data of individuals located in the EEA or UK.
1. Definitions
Controller: The user determining purpose of data processing. Processor: Passively.
2. Data Processing Scope
Passively processes personal data solely to provide platform services, deliver messaging, support customers, and improve system performance.
3. Data Security
Passively implements encryption, access controls, network monitoring, and secure hosting environments.
4. Sub-Processors
Passively may engage third-party sub-processors for hosting, payments, messaging, and domain registration. Passively remains responsible for compliance.
